GoTeam – Terms and conditions:
1. The agreement
1.1 These terms of agreement (hereinafter referred to as the Terms), together with the parties’ other written contractual basis, including submitted offers from GoTeam ApS (hereinafter referred to as GoTeam), regulate the organisation of and/or contributions to the customer’s corporate event (hereinafter referred to as the Event).
1.2 In the event of discrepancies between any individual provisions and the Terms and Conditions, individual provisions take precedence. The customer is responsible for documenting individual provisions if the customer wishes to claim that an agreement has been made that deviates from the Terms and Conditions.
2. GoTeam’s rights and obligations
2.1 GoTeam assumes responsibility for the organisation and planning of the Event, including entering into necessary agreements with third parties for the implementation of the Event. The customer must be available during the planning and assist with knowledge necessary for the correct and legal realisation of the Event.
2.2 GoTeam ensures the practical execution of the Event, including the delivery of the agreed services. Please note that the delivery of the services is subject to agreement and in co-operation with the customer.
2.3 After the end of the Event, GoTeam ensures that the premises and locations used are cleaned up outdoors.
If the customer continues an event after the agreed time frame, the customer ensures clean-up before leaving the premises or outdoor locations.
2.4 GoTeam is responsible for obtaining all permits and bookings from public authorities or others that are necessary for the realisation of the Event. However, GoTeam cannot be held responsible for permits and bookings being refused.
2.4.1 GoTeam is obliged to notify the customer as soon as possible if GoTeam becomes aware that a permit or booking cannot be obtained. The parties will then, in consultation, assess how and where the Event can alternatively be realised. Any additional costs associated with this will be borne by the customer.
2.5 GoTeam may at any time stop an activity during the Event or the Event itself if it is assessed that the customer does not comply with guidelines, guidelines or other instructions given by GoTeam.
This is to ensure the safety of the customer and GoTeam during the realisation of the Event.
3. Customer’s rights and obligations
3.1 The customer undertakes to keep GoTeam informed of any circumstances that may be assumed to be of importance to the Event.
If the customer must deliver material to GoTeam, the customer undertakes to deliver the material as timely – and never later than – that GoTeam can fulfil the agreed tasks.
3.2 If the customer himself – outside of GoTeam – enters into an agreement on services with third parties, including artists or the like, the customer is responsible for any authorisation and/or booking that may be associated with this, just as the customer bears the costs of such third parties.
3.3 In connection with the organisation of the Event, the customer undertakes to ensure that the customer’s guests act considerately and do not cause personal injury or damage to movable property, inventory, buildings or otherwise.
4. Cancellation by the customer
4.1 The event can be cancelled by the customer by paying the rates in 4.2.1 to 4.2.4. However, the customer must always cover the direct costs associated with the cancellation at GoTeam, so if these documentably exceed the rates in 4.2.1 – 4.2.4, the customer can only cancel by covering the direct costs for GoTeam. The cancellation fee can never exceed the total price of the Event.
In case of cancellation or rebooking of the Event, the customer must hold GoTeam 100% harmless in all documentable circumstances.
4.2 GoTeam is entitled to the following cancellation fees from the customer:
4.2.1 If the Event is cancelled earlier than 30 days before the start of the Event, the customer is obliged to pay 20% of the price of the Event.
4.2.2 If the Event is cancelled within 30 days before the start of the Event, the customer is obliged to pay 50% of the price of the Event.
4.2.3 If the Event is cancelled within 14 days before the start of the Event, the customer is obliged to pay 75% of the price of the Event.
4.2.4 If the Event is cancelled within 7 days before the start of the Event, the customer is obliged to pay 100% of the price of the Event.
5. Liability
5.1 The customer is liable for damages to the extent that the customer himself, the customer’s guests or the customer’s subcontractors before, during or after the Event cause personal injury – or damage to movable property, inventory, buildings or other.
5.2 GoTeam is never liable for indirect losses, including lost profits, operating losses, production losses or losses as a result of the Event not being held – or losses as a result of an agreement with a third party being cancelled or breached.
5.3 GoTeam cannot be held financially responsible for the execution of the Event in the event of strike, lockout or other form of war, fire, work stoppage, hurricane, accident, breakdown or other force majeure, which prevents – or significantly complicates – the planned Event’s full or partial execution.
6. Price and payment deadlines
6.1 The Customer is obliged to pay the agreed price for the Event.
6.2 GoTeam invoices the customer for the Event immediately after the conclusion of the agreement.
6.3 Payment terms are net 8 days from the invoice date unless otherwise agreed. In case of late payment, interest is calculated at 3% p.a.
GoTeam charges payment for sending out demand letters, just as GoTeam charges a fee to cover the costs if an outstanding balance is transferred to debt collection.
7. Changes, adjustments and rebooking
7.1 The date and time of the Event can only be changed by the customer with GoTeam’s prior acceptance, just as the customer can only make changes to the composition of the Event with GoTeam’s prior acceptance.
7.2 In the event of a change, the customer is obliged to pay the documentable costs that the change has caused.
7.3 Any documentable, financial loss for GoTeam in connection with the customer’s change of the agreed date, time or content in connection with the Event is borne by the customer in accordance with clause 4.1.
8. Disputes
8.1 Any dispute that may arise from the parties’ agreement or other legal relationships between the parties shall be settled in accordance with Danish rules in the first instance by the Maritime and Commercial Court in Copenhagen.
